# Research

Since 2017, Blocksquare and its team have dedicated their time and resources to find the most lean and effective method of bringing real estate assets on the Ethereum blockchain.

In the course of this journey Blocksquare has also received some awards and recognitions amongst both the PropTech and Blockchain communities:

While developing the real estate tokenization protocol the team researched various tokenization models including debt and equity, concluding that neither of the two are currently suitable for the purpose of tokenizing real estate assets.

### Findings: Debt and equity tokenization

Tokenizing either debt or equity of the capital stack presents challenges — debt is already serviced very well traditionally by banking institutions, while equity tokens have no real on-chain settlement of rights in most jurisdictions around the world. What's more, tokenizing equity hits so many established regulations, that the risks greatly outweigh the benefits.

In the real estate context, tokenization of debt is easier to implement and also easy to understand, banks already serve this avenue very well. As long as the project is of a certain quality, the borrower has a good balance sheet and is able to provide 20-30% of the required capital to execute the real estate investment, banks will green light the senior loan. Tokenization of debt will thus predominantly attract projects that are unable to secure financing through traditional and well established routes — in short, projects that most probably shouldn’t be offered to investors publicly.

On the other side of the capital stack we have equity. The tokenization of equity was highly expected with the rise of STOs, however, it never really took off. The main challenge of tokenizing equity is transferability. While tokens can settle instantly on a blockchain, to actually transfer the ownership of private companies or real estate is a much more complex process that includes notaries and banking institutions to get involved.

We thus conclude that as long as these core players do not become an integral part of Ethereum, the actual transferability of shares will remain limited and provide investors more uncertainty than traditional investment routes.

## Solution: Revenue based asset tokenization

As mentioned above, tokenizing either debt or equity of the capital stack presents challenges — debt is already serviced very well traditionally, while equity tokens have no real on-chain settlement in most jurisdictions around the world.

Is there anything else out there? A solution that would offer both asset owners and investors something new?

### Economic right deriving from asset ownership

In the real estate context it is fairly easy to estimate the revenue a particular property can generate. Most common revenue streams for real estate properties are:

* cash flows from lease contracts, and
* resale of the property to a 3rd party buyer.

In the context of commercial real estate, the revenues a property generates also highly impact the valuation of the property as investors look predominantly for a target return.

Revenue based investing is not by any means a new concept, and is mostly used for financing companies through royalties. A royalty is a defined share of the royalty issuer’s revenues. Royalties have been used for hundreds of years where one party wished to share revenues with another party who was doing something useful to the royalty payer or issuer. Royalties were traditionally used in commerce where the definition of profit was either difficult to determine or not chosen to be revealed.

To put it simply, the issuer is telling investors that every month they will receive X% of the issuer’s revenues until they receive Y times their cash back and the issuer expects it to be happening in a period of Z years.

The advantages over buying shares or lending a company money? An investor is not concerned with or impacted by the issuer’s profitability for so long as the issuer meets royalty payment obligations. The royalty owner also benefits when the revenues of an issuer increase, but on the flip side there is also the risk of revenues declining.

### Top-line revenues vs. bottom-line profits

Revenues are found on the top line of a balance sheet and are easier to understand and project than the profits we find on the bottom line of the balance sheet. Grasping one set of factors that affect revenues is easier than grasping the multi-dimensional factors that affect profit, so risk and reward of revenue investing can be quantified in a more straightforward manner.

This is the principle behind royalty finance and provides a greater degree of certainty to the investor; returns in the form of current income begin to flow immediately, and they grow as revenues grow. The investor’s natural skepticism is decreased because he has better information, though it can never be eliminated (nor should it be).

The company must still credibly justify its revenue projections, and provide a failsafe mechanism to report, sequester and pay a percentage of revenues to investors. But the investor is now on more solid ground in quantifying his risk, and his reward. Therefore, raising capital may become easier, and the decision to green-light the investment becomes more straightforward. Everyone benefits.

### Real estate revenues & tokenization

Real estate is a specific asset class that offers an investor both steady cash flow and value appreciation over time. Although volatile for traditional markets, in comparison to the crypto market it looks like a safe and steady investment that appreciates in value over time. Additionally, the revenues from lease contracts offer a steady inflow of capital to the investor — in crypto terms it is much like rewards you receive while staking, but without the risk of holding an unstable asset.

By tokenizing the real estate asset’s revenues, investors are focused on the growth and performance of revenues. The rest of the balance sheet is less relevant to the investor’s direct interest, and unlocking its mysteries is less of an obstacle to making an informed investment decision.

# Tokenization protocol

### Overview

The Protocol is the process of creating a ‘PropToken’ smart contract - a standard Ethereum ERC-20 smart contract with a defined maximum issuance of 100,000 digital tokens, extended with unique information identifying a specific real estate property, and additionally limiting transactional rules according to the issuer’s requirements (which users can transact with the tokens is defined within a separate smart contract).

To link a real estate property and its revenues to the ‘PropToken’ smart contract, a Public Corporate Resolution is generated and subsequently signed by the legal representative (e.g. GM, director, CEO) who is mandated by shareholders of the issuing legal entity which in terms also holds title to the property. The signed resolution is made public through IPFS - a distributed file system that ensures the legal document has a fixed online address, while the file itself can not be tampered with after it has been uploaded and becomes public.

The location of the file is defined as a unique IPFS hash and recorded within the PropToken smart contract, while the Corporate Resolution holds the information of the ‘PropToken’ contract address. The ‘PropToken’ now points towards the Corporate Resolution and vice-versa, so the legal effects of the corporate resolution work in conjunction with the tokens managed by the ‘PropToken’ smart contract.

Consequently, investors holding tokens can use this corporate resolution to appeal in court should the issuer stop their payments. As payments are conducted via smart contract, they are recorded on the ethereum Blockchain and shall be used as proof, should a legal dispute start.

Traditionally, corporate resolutions are used by boards of directors in private and public companies to sign on important corporate decisions, like change of leadership and then reported to the companies house or similar government institution. In the context of tokenization, however, the corporate resolution is used to make a public decision on a specific asset and its revenues.

The corporate resolution is used to transfer any and all revenues (NAT — Net After Taxes) that the issuing legal entity generates within the scope of its commercial and trading activity with the specified real estate property to the individual digital token holder of the PropToken smart contract, where 100,000 digital tokens represents a predefined ‘Royalties Percentage’ of any and all net revenues, including revenues generated by a sale of the property to a 3rd party.

The ‘Royalties Percentage’ is defined at issuance according to the real estate property’s business model and the cost structure that the issuer will use to generate revenues. For instance, renting out an apartment might append all costs to the tenant and thus the issuer could direct 90-100% of revenues towards token holders, while an office building could have a more complex cost structure with legal, maintenance, financing and other costs stacking up and thus only 60% of revenues would be directed to the token holders.

The above method of tokenizing a real estate property or multiple properties forms Blocksquare's tokenization protocol.

# BSPT tokens

Blocksquare Property Tokens (BSPTs) are a standard Ethereum ERC-20 smart contract with a defined maximum issuance of 100,000 tokens for each real estate property, where 1,000 tokens can be issued for each 1% of an asset's capital stack.

Each asset has its own BSPT, meaning the token symbol varies from property to property i.e. BSPT-XYZ-##. The token standard features on-chain property valuation, creating legally binding tokens enforceable by a standardized corporate resolution stored on IPFS.

#### Token contract features:

* the asset's capital stack information
* the asset's street location
* the asset's geo coordinates
* the real estate property's valuation
* the property token valuation
* the property type (i.e. Residential, Office, Leisure...)
* land registry data (i.e. cadastral municipality, parcel number, ID number, building part...)

## Protocol features

[Blocksquare's Property Factory smart contract](https://etherscan.io/address/0x1ae91a263a690bf2129cf0b3acac92bbb67e6685) is the main smart contract to generate a “PropTokenContract” — an ERC-20 backwards compatible token standard developed by Blocksquare designed to tokenize a specific real estate property and the revenues it generates.

#### Token symbol standardization

The protocol features a standardized token symbol BSPT-XXX-###, where BSPT stand for BlockSquare Property Token, XXX is a defined unique alphanumeric symbol, and ### is an automatically incremented number.

#### On-chain property registry

Each PropToken contract is registered in [Blocksquare's Property Registry](https://etherscan.io/address/0x05325c1ab1440df7214db38f676f95999729267b) — a smart contract where “Identification data” of all real estate properties is publicly available.

#### Token supply cap

The “maximum amount” of tokens that can be issued is 100,000, where 100,000 tokens represents a predefined percentage of royalties of any and all net revenues, including revenues generated by a sale of the property to a 3rd party. The Royalties percentage is stored and sealed in the PropToken contract.

#### Legal rights transfer

“Corporate resolution” is the legal binding document uploaded and stored on IPFS that works in conjunction with a PropToken smart contract and creates a financial obligation by the issuer towards any and all holders of a property token.

#### Token transfer whitelisting

Due to AML regulations, to hold property tokens, a user is required to first complete KYC using Blocksquare’s platform. This is a one-time process. As opposed to ERC-20 where transferability is not limited, PropToken contract’s “transfer function” uses wallet information stored in the “WhitelistingContract” limiting token transferability according to an issuer’s predefined requirements.

For instance, it is possible to limit token ownership to wallets whose owners are US residents only, or exclude residents of certain countries, or even define custom parameters for eligibility — the more limitations, the less liquidity potential a tokenized property will have.

#### Capital stack registration

Each PropToken contract also has a “Capital stack” parameter that needs to be defined by at issuance. Besides the tokenization percentage, the capital stack provisions for:&#x20;

1. Senior equity
2. Preferred equity
3. Mezzanine
4. Junior debt
5. Senior debt

This information adds transparency to token investors and the ability for protocols like Maker to create a custom valuation and risk assessment model based on this information. Important to note, that the capital stack can be updated by issuers as time passes, for instance, the debt portion should diminish in time in favour of the equity side.

#### On-chain valuation

Each PropToken also has the ability to store information about its valuation, split into two categories:

1. Property valuation, and
2. Token valuation.

Both values can be updated through oracles. Blocksquare has developed a token valuation model that listens to transactions that occur via DEX protocols like 0x, and takes into account volume, price, property valuation and circulating supply.<br>


# Corporate resolution

The “Corporate resolution” is the legal binding document uploaded and stored on IPFS that works in conjunction with a [Blocksquare PropToken smart contract](/infrastructure/tokenization-protocol/bspt-tokens) and creates a financial obligation by the issuer towards any and all holders of a property token.

To create a unified, standardized tokenization protocol, Blocksquare has templated a resolution and already translated it into several languages.

### Header section

In the first part the token issuing legal entity with all signatories, i.e. official representatives and shareholders, is identified.

### Chapter I: Subject matter

This section identifies the real estate asset subject to the corporate resolution. Below we extend on the individual fields.

#### 1. Real estate property address and country

*Most real estate properties have an address that uniquely defines it. Based on countries it might include i.e. street, building, floor, apartment/unit number. In some rare cases, where a property might not have an actual address, other methodologies of identifying the location of a property might be used.*&#x20;

#### 2. Real estate property type and purpose

*Real estate assets are usually built with a pre-defined purpose i.e. residential, office, retail, leisure, industrial, storage, medical... Although a property might change in purpose over time, in this section the asset's type and purpose should accurately indicate the most current one.*&#x20;

#### 3. Public address of digital token smart contract

*After deployment, each BSPT smart contract receives a unique address on the Ethereum network. Both the address and smart contract code are fixed and can't be changed or altered.*

#### 4. Total emission of digital tokens

*As per Blocksquare's BSPT token standard, the total possible emission of tokens for each tokenization is set to 100,000 tokens. BSPT tokens are ERC-20 backwards compatible, meaning they have 18 decimals and thus are devisable into smaller units of account.*

#### 5. Revenue share for single digital token

*As per Blocksquare's BSPT token standard, the share of economic rights (resale and recurring revenues) that a single token represents is always fixed at 1:100,000 meaning 1,000 tokens give its holder 1% of the economic rights as defined by set parameters in the corporate resolution.*

#### 6. Percentage of revenues (royalties)

*For simplicity purposes of monitoring individual investment portfolios with large amounts of different tokenized real estate assets, the corporate resolution lays claim to revenues over profits (see* [*here*](https://docs.blocksquare.io/infrastructure/tokenization-protocol/pages/CzZN33kyY2iRS3O5MHtW#top-line-revenues-vs.-bottom-line-profits) *why).*

#### 7. Revenue distribution interval

The interval at which any recurring revenues shall be distributed is specified in months. This can accomodate intervals that span over a single month or multiple months.

For instance, for quarterly distributions the property owner would set the resolution to specify 3 months, 6 months for bi-annual and 12 months for yearly distributions. The minimum interval is 1 month and the resolution does not provision commitments for shorter distribution intervals.

#### 8. Buyback threshold

The “buyback threshold” is expressed in percentages (%) and relates to [Article 5](#article-5) of the Corporate resolution. The higher the threshold, the less token holders need to accept the issuer's buyback offer for it to become valid i.e. officially accepted.

A 10% threshold would mean that holders of 90% of all issued tokens would need to accept an issuer's buyback offer for the issuer to be able to withdraw the resolution e.g. when an issuer wants to sell the property to a 3rd party. A 90% threshold would mean  the holders of just 10% of tokens need to accept it. A 100% threshold would mean that any offer has already been accepted at issuance, but bear in mind the issuer's minimal obligation is always par with the highest price the issuer ever sold tokens for, as stated in [Article 4.](#article-4)

#### Identification data of all real estate properties subject to this resolution, as reflected in the national land title recording system:

Various jurisdictions rely on different real estate registration methodologies and systems. Usually, what they have in common, is a practical way to clearly identify land, buildings and/or building parts. In this section, the issuer enters the required information so that investors can clearly understand, what properties are subject to the resolution.&#x20;

### Chapter II: Resolution

#### Article 1

> The Shareholders agree to warrant that the Company
>
> a) holds sole ownership of\
> b) shall exercise an option/right to purchase\
> c) \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_
>
> the real estate property referred to in Chapter I hereof (hereinafter “Real Estate”).

*In the first article, the issuer i.e. owner of the real estate property defines its own relation to the real estate asset. In v1.2. two standard options are offered, while the third option enables the issuer to define other forms that possibly haven't been identified yet by our legal team.*

#### Article 2

> A portion of any and all revenues (Net After Taxes) that the Company generates within the scope of its commercial and trading activity with the Real Estate property, shall be transferred to the individual digital token holder of the smart contract with a public address referred to in Chapter I hereof, in proportion to the number of digital tokens of the individual holder, where 1 digital token represents 1:100.000 of any and all revenues multiplied by the percentage of revenues (royalties). These distributions shall occur at the interval defined in Chapter I and shall be executed no later than 30 days after the conclusion of each interval.

*Here the proportion of economic rights deriving asset ownership is defined. As it is based on the amount of tokens held, the article applies to all partial and full tokenizations and survives even in cases when tokens are brought to the public in multiple stages over time.*

#### Article 3

> If a shareholding of either an individual shareholder or of all shareholders is sold or otherwise transferred (e.g. via inheritance), the new shareholder or new shareholders shall, jointly and simultaneously with the purchase or other form of acquisition, fully adopt and abide by the relevant resolution.

*The article establishes that any obligations as well as any rights created by the execution of this corporate resolution are automatically accepted by new shareholders of the issuer legal entity. In short, old shareholders are required to inform any new shareholders about the entirety of this resolution.*

#### Article 4

> In the absence of legal provisions and/or prohibitions the resolution may only be withdrawn insofar as all the active (existing) shareholders agree therewith and provided that the special condition precedent is met, namely that in case of a resolution withdrawal, the Company shall irrevocably be bound to repurchase any and all digital tokens in circulation, related to the Real Estate (according to the “Squeeze out” principle or mutatis mutandis thereof). The minimum repurchase price for each token shall be equal or higher than the highest price of a token at which the Company has ever offered or sold tokens.

*After issuance of tokens to any number of third parties, the issuer becomes legally bound to buy back these tokens prior to any legal dealings with the real estate asset (sale, transfer, mortgage...).*

*Additionally, a buy back floor price is defined as the price at which tokens have ever been sold on the primary market i.e. directly transferred by the issuer to token holders. This somewhat protects investors and incentivises issuers to use more accurate asset valuations at primary offerings.*

#### Article 5

> Where the Shareholders opt for the withdrawal of the Resolution, the Company shall communicate an offer for the repurchase (“Buyback”) of digital tokens to holders through appropriate communication means, whereby it shall determine the lowest and highest purchase price of the digital token – tranche purchase/sale. The final repurchase offer/price shall be deemed publicly accepted by any and all digital token holders when no more than the Buyback Threshold percentage as defined in Chapter I of all issued digital tokens or less remain in circulation. The Company is bound to a repurchase (“Buyback”) of digital tokens prior to any transactions involving the Real Estate.

*The issuer is bound to properly inform token holders of their intention to withdraw from the obligations set forth when the resolution was first executed. In this communication the issuer should disclose the price at which it intends to buy back tokens from the market. The "buyback" might be executed at different prices (e.g. to incentivise early participation), but the minimum price should never be lower than as specified in the last sentence of article 4 of the resolution.*

In practice, the process is streamlined through a buyback smart contract that uses parameters like the "buyback threshold" to determine if consensus has been achieved. There might be more complex mechanics in place, offering various price tranches and time-sensitive bonuses. The simplest of smart contract workflows goes follows:

1. Issuer declares an intention to buyback tokens at price X DAI or USDC per token.
2. Token holders signal their support by locking their BSPT tokens into the buyback contract.
3. If amount of signalled BSPT reaches required threshold:
   * then issuer deposits the total amount of DAI/USDC,
   * while token holders subsequently execute a swap of their BSPT.
4. If, however, the threshold is not met, the issuer can either increase their buyback offer, or cancel it.

#### Article 6

> The Company shall maintain a valuation report not older than 12 months for the Real Estate property and make it accessible whenever requested to any existing token holder. The report should be executed by a licensed valuator registered with IVSC, RICS or equivalent organization.

#### Article 7

> This resolution shall terminate any and all previous and/or future resolutions (decisions) that would be in conflict with this resolution and might in any way interfere with the content of this resolution by directly or indirectly attempting to challenge or invalidate it. The provisions of any other resolution (decision) that indicates the invalidity of this resolution shall become invalid as soon as this resolution comes into effect. This resolution is limited exclusively for the Real Estate as identified in Chapter I.

To facilitate legal due diligence, any previous resolutions that might contradict it get automatically terminated as soon as the resolution is executed (i.e. signed). The token investor also receive protection against any future decisions that the company might accept, should these involve the real estate asset that is subject of the tokenization.&#x20;

# Asset valuation

### Property valuation vs. Token valuation

A property’s valuation is traditionally created by qualified valuers, for instance, RICS ([rics.org](http://rics.org/)) is the most recognized international organization of valuers. On the other hand, big data and AI, has opened the world of “instant valuation” based on available market data. Additionally, companies like RCAnalytics ([rcanalytics.com](http://rcanalytics.com/)) offer access to accurate property valuation data by partnering with large corporations and investors.

Assessment of a property valuation is therefore well established and can be relied upon, although many professionals and RICS members will also tell you that there are cases where valuations made by different valuers with the same tools and qualifications might differ by as much as 10-20%. That being said, banking institutions usually update valuations of their portfolios (properties they have taken as collateral for debt issuance) on a yearly basis, depending on the regional standards of course.

A tokenized property’s valuation, on the other hand, is much more dynamic and can’t solely rely on the basis of a rather static traditional valuation model. For this reason, Blocksquare has developed a valuation model for properties based on the share of the tokenized portion in a property’s capital stack. For example, a property where 10,000 tokens have been issued, the token’s secondary market activity will have a lower impact on valuation, then for a property where 70,000 tokens have been issued.

### Real world assets value and liquidation events

Defining a safe model to properly value tokenized real estate is important for mitigating risks associated with possibilities of manipulating prices on secondary markets.

With real estate assets, relying solely on token pricing might prove to be challenging as the amount of data sources is very limited and perhaps even insufficient to establish a reliable pricing point. It can therefore be dangerous as a RWA token price could easily be manipulated.

Blocksquare’s protocol mitigates the previously mentioned challenge. Real estate properties hold their real world valuation within the PropToken smart contract itself.\

# Transaction fees

At each transaction an integrated fee of 1.5% BSPT tokens takes place.

Fees are always paid by the buyer and executed in property tokens, e.g. if a transaction involves 10,000 tokens, the buyer will receive 10,000 - 1.5% tokens = 9,850 tokens on their wallet even if tokens are transferred outside the platform.

At each transaction a fee of 1.5% tokens is deducted and credited to network stakeholders. The fee distribution to beneficiaries is automated.

* 0.5% goes to the platform operator
* 0.5% goes to the issuing company
* 0.5% goes to the DeFi bridge (Oceanpoint)

# Tokenization service

With Blocksquare's tokenization protocol, anyone can offer a new service to real estate owners worldwide.

Tokenization is a service that requires some knowledge and understanding, sure, but once mastered, it becomes a process most people can easily repeat. Currently, we execute each tokenization internally, but in time, our Certified Partners will be able to use the Admin Panel to execute tokenizations on their own.

### Why tokenize a real estate asset?

Tokenization is changing how we invest in real estate. Taking us from a world where a property is transected once a decade, to a new reality where hundreds of transactions of that same real estate asset are executed within the minute.

Tokenization offers the ability to match available market demand by reaching investors of any size. A solution that can increase liquidity for a wider selection of players in the commercial real estate investment space.

There may be various reasons for why one would consider tokenizing a real estate asset.&#x20;

#### 1. Raising capital

The most straightforward use case is capital raising. Wether the motives involve raising for new developments, property acquisitions or refinancing debt, to efficiently raise funds for a real estate investment deal, it is required for the asset owner to partner with an established marketplace with a large enough user base for the campaign to be successful.

Once your marketplace is ready and deployed into production, your team will be required to register user accounts with emails matching the marketplace domain. Please visit your marketplace URL as a regular end-user and complete the sign-up process.

# Custom domain

How to set up a custom domain for your marketplace

## Step 1: Verify domain certificate

To do this, you will need to add a CNAME record to your domain’s DNS records by follow the steps below. See your domain host’s documentation for more specific instructions.

Before you start, you need to receive your custom domain setup instructions. If you would like to set a custom domain, please send a request to Blocksquare.

1. Go to your domain’s DNS records.
2. Add a record to your DNS settings, and create/add a new DNS record with the settings you received.
3. Save your record. CNAME record changes can take up to 72 hours to go into effect, but typically they happen much sooner.

## Step 2: Route your subdomain to marketplace app

&#x20;After [step 1](#step-1-verify-domain-certificate) is complete and your domain certificate is validated, you will be able to reroute your marketplace to work through your chosen aubdomain. To do this, you will need to add another CNAME record to your domain’s DNS using the configuration settings provided by Blocksquare.

# Partner discounts

Blocksquare’s infrastructure is being developed through funding secured from the DAO’s sale of its native token — BST. The Blocksquare Token is a digital asset that aligns incentives and identifies parties who share the DAO’s vision and long term goals. For this reason, marketplace operators who stake BST on Oceanpoint are eligible for incredible discounts when using Blocksquare’s infrastructure.

All that is required, is for a Certified Partner to purchase and stake BST to obtain sBST. The partner is then required to deposit the sBST into a multi-sig to confirm partner status. Our systems monitor the partner's multi-sig wallet for any discounts before issuing an invoice.

## Introduction

1.1. By using our Marketplace, registering a <mark style="background-color:yellow;">CP\_COMPANY</mark> Account (“Account”) or using any of our Services, you ("you, your, or yourself") are agreeing to accept and comply with the terms and conditions of use stated below ("Terms of Use"). You should read the entire Terms of Use carefully before you use this Marketplace or any of the <mark style="background-color:yellow;">CP\_COMPANY</mark> Services.

**If you do not accept these Terms of Use, do not access this Marketplace and do not use our Services.**

1.2. Our Marketplace is accessible through <mark style="background-color:yellow;">CP\_COMPANY</mark>’s website (ADD WEBSITE) (the “Marketplace”). The Marketplace enables our users to access and use our Services and services provided by third parties.

1.3. Terms of Use is a legally binding agreement stipulated between you and <mark style="background-color:yellow;">CP\_COMPANY</mark>. Once you agree with the Terms of Use you become a user. You should read this carefully because it will define your rights and responsibilities in dealing with us.

1.4. By using our Services and accessing our Marketplace you represent and warrant that you have full power and authority to enter into this agreement, and have not been previously suspended or removed from using our Services.

1.5. 1.6. Please read these Terms of Use carefully before using the Marketplace described herein and make sure you understand everything. Please also review the following documents, which form part of the Terms of Use:

1.7. In the event of any conflict between these Terms of Use and other legal documents issued by us, Terms of Use shall prevail over each of the other documents.

1.8. You also acknowledge our Privacy Policy for information about how we collect, use and share information collected from you.

1.9. We reserve the right to change, modify and replace these Terms of Use at any time based on our sole discretion without any prior notice to you. You will be notified of any substantial changes in advance through your Account. Any changes will be effective immediately upon posting on our Marketplace. It is your responsibility to review these Terms of Use regularly. If at any time you do not agree to these Terms of Use, please stop using our services and accessing our Marketplace. You will be deemed to have accepted changes to the Terms of Use, by continuing to use our services and accessing our Marketplace.

## Services

2.1. Through our Marketplace, we enable tokenization of real estate assets (core service). In addition we might offer various ancillary services to core service (together “Services”).

2.2. Tokenization in respect of our Services is a process of converting real estate asset into a digital token in the form of a crypto asset (crypto token).

2.3. For the legal nature of the crypto asset, rights deriving from the crypto asset to the user, technical standards of the crypto asset and other relevant topics, please refer to our Crypto Token Policy.

### Verifying who you are

3.1. CP\_COMPANY will do everything we can to respect and protect the privacy of our users. However, prior to allowing you to open an Account, we are required to first verify who you are, and make sure you are not using the services for illegal transactions, such as money laundering or terrorism financing.

3.2. CP\_COMPANY has full discretion regarding the opening of an Account for a specific user. If CP\_COMPANY declines to open the Account for whatever reason, CP\_COMPANY is not required to provide any explanation to the user.

3.3. To start using our Services, you will need to register on our Marketplace and perform a Know Your Customer (“KYC”) identification and verification procedure.

3.4. KYC is a user identification process to ensure that the identity of each user is appropriately verified. It is not only a legal requirement to assess and monitor risks, to prevent doing business with a money launderer, terrorist or other criminal, even more importantly, KYC is a fundamental practice to protect the Marketplace and its users from fraud and losses due to illegal funds and transactions.

3.5. We will strive to perform the KYC check within 24 hours, though sometimes the process may last longer.

3.6. You accept and agree that in cases where CP\_COMPANY has valid reasons to believe that your Account is used for money laundering or for any other illegal activity, or that you have concealed or reported false identification information and other details, or if there is a valid reason to believe that the transactions effected via your Account were affected in breach of this Terms of Use, CP\_COMPANY shall be entitled to require you to provide any additional information and documents to clarify the circumstances. Transactions may be frozen until the documents are reviewed by us and accepted as satisfying the requirements of the legislation for counteracting laundering of monies from criminal activities and financing of terrorism.

3.7. CP\_COMPANY can request from you any additional identifying information and supporting documentation at any time at the request of any competent authority or in case of application of any applicable law or regulation, including laws related to anti-money laundering of monies obtained by criminal means, or for counteracting financing of terrorism.

### Required information (individual and corporate account)

4.1. The information we request for the purpose of identification and verification of individuals and/or businesses is stipulated by the applicable law (anti-money laundering regulation).

### Sanctions

5.1. CP\_COMPANY is prohibited from transacting with individuals, companies and countries that are on prescribed sanctions lists. CP\_COMPANY will therefore screen against United Nations, European Union, UK Treasury and US Office of Foreign Assets Control (OFAC) sanctions lists in all jurisdictions in which we operate.

5.2. It is your own responsibility to follow those rules and laws in your country of residence and/or country from which you access this Marketplace and the Services.

### Your consent

6.1. As long as you agree to and comply with these Terms of Use, CP\_COMPANY grants to you a personal, non-exclusive, non-transferable, non-sublicensable and limited right to enter and use the Marketplace and the Services.

### Maintaining your account: Our rules

7.1. This Marketplace and your CP\_COMPANY Account is for the use of the Account holder only – you may not create Accounts on behalf of other people or allow other people to use your Account. We are vigilant in maintaining the security of our Marketplace. By registering with us, you agree to provide CP\_COMPANY with current, accurate, and complete information about yourself as prompted by the registration process, and to keep such information updated. You further agree that you will not use any Account other than your own, or access the Account of any other users at any time, or assist others in obtaining unauthorized access. The creation or use of Accounts without obtaining the prior express permission from CP\_COMPANY will result in the immediate suspension of all said Accounts, as well as all pending transactions. Any attempt to do so or to assist others (users or otherwise), or the distribution of instructions, software or tools for that purpose, will result in the Accounts of such users being terminated. Termination is not the exclusive remedy for such a violation, and CP\_COMPANY may elect to take further action against you.

7.2. You also are responsible for all activity including transactions that are posted to your Account.

7.3. You agree that you will not use the Marketplace or Services to perform criminal activity of any sort, including but not limited to, money laundering, illegal gambling operations, terrorist financing, or malicious hacking.

7.4. You are solely responsible and liable to declare, bear and pay all taxes, duties, imposts, levies, tariffs and surcharges that might be imposed by the laws and regulations of any jurisdiction as a result of or in connection with using our Services.

7.5. We are not giving any advice regarding tax issues and are not responsible for determining any tax implications connected with our Marketplace or Services. We make no representation as to the tax implication of any jurisdiction. You shall be solely liable for all such penalties, claims, fines, punishments, liabilities or otherwise arising from his/her underpayment, undue payment or belated payment of any applicable tax. If certain taxes shall be applicable for our Services, they shall be added on top of the applicable amount. Upon our request, you will provide us any information we reasonably request to determine whether we are obligated to collect VAT (or any other applicable tax) from you, including your VAT identification number. If any deduction or withholding is required by law, you will notify us and will pay us any additional amounts necessary to ensure that the net amount that we receive, after any deduction and withholding, equals the amount we would have received if no deduction or withholding had been required. Additionally, you will provide us with documentation showing that the withheld and deducted amounts have been paid to the relevant taxing authority.

7.6. By accessing the Marketplace, using the Services or registering as a user, you represent, warrant and undertake that:

### Your Account security

8.1. CP\_COMPANY is not responsible for the consequences of another party accessing and using your Account data due to your fault or negligence. It is your sole responsibility to safeguard these secrets. CP\_COMPANY will not be responsible for any funds lost in this manner.

8.2. Your CP\_COMPANY Account is accessible using your login email, password and 2-Factor Authentication.

### Our Fees

9.1. The fee schedule is subject to change at any time, and we will not necessarily notify you of any changes. You should check the fee schedule prior to making any transaction.

9.2. The fee will be displayed prior to each transaction. Fees are charged when the transaction is executed and are deducted from the Account balance. If the balance is insufficient to cover the fees, we may refuse to execute the transaction.

### Limitation of liability

10.1. To the extent permitted by applicable law, (a) we make no promises as to the completeness, accuracy, availability, timeliness, propriety, security or reliability of the Services or the Marketplace; (b) your access and use of the Services and the Marketplace are at your own risk, and (c) the Services and Marketplace are provided “as is” and “as available”; and (d) we, and our group companies, and our and their officers, directors, employees ("CP\_COMPANY Entities"), disclaim all warranties & conditions, express or implied, including, but not limited, to the implied warranties of satisfactory quality, fitness for particular purpose, or non-infringement.

10.2. To the maximum extent permitted by applicable law, in no event will the CP\_COMPANY Entities be liable for any indirect, incidental, special, consequential or punitive damages, or any loss (e.g. of profit, revenue, data, or goodwill).

10.3. To the maximum extent permitted by applicable law, in no event will the aggregate liability of the CP\_COMPANY Entities (whether in contract, tort (including negligence), breach of statutory duty or otherwise), arising out of or relating to the use of, or inability to use the Marketplace or the Services, or to these Terms of Use exceed the lesser of (a) the value of the currency in your Account at the time of the event giving rise to liability, or (b) $10,000.

### Financial Advice

13.1. For the avoidance of doubt, we do not and will not provide any investment advice in connection with the Services contemplated by these Terms of Use. Any decision related to crypto assets is solely your own and we will not be liable for any loss suffered from such transactions.

### Financial Regulation

### Availability of Services

15.1 We will strive to provide you with the service as soon as possible but there are no guarantees that access will not be interrupted, or that there will be no delays, failures, errors, omissions or loss of transmitted information.

15.2 We will use reasonable endeavors to ensure that the Marketplace can normally be accessed by you in accordance with these Terms of Use. We may suspend use of the Marketplace for maintenance and will make reasonable efforts to give you notice. You acknowledge that this may not be possible in all circumstances.

### Suspension of Services, Termination of Services

16.1. We may, in our discretion and without liability to you, with or without prior notice, temporarily suspend or permanently terminate your access to the Marketplace, your Account or all or some Services(i) in the Event of Force Majeure (ii) if you breach these Terms of Use, or (iii) if we are required to do so in order to comply with our own regulatory obligations.

16.2. For the purpose of this section, "Event of Force Majeure" means any circumstances which we cannot reasonably be expected to control (which shall include Act of God, explosion, flood, tempest, fire or accident, war or threat of war, sabotage, insurrection, civil disturbance or requisition, acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority, import or export regulations or embargoes, strikes, lock-outs or other industrial actions or trade disputes, breakdown in machinery, or interruption or failure of the Internet or of any network, telecommunications, power supply or infrastructure, or any provider of any of the foregoing).

In particular, we may take such action set out in section 22.1 in the following circumstances: (1) you attempt to gain unauthorized access to the Marketplace or another user's Account or provide assistance to others attempting to do so, (2) you interfere, or try to interfere, with software security features limiting use of or protecting any content, (3) you use the Service to perform illegal activities such as money laundering, illegal gambling operations, financing terrorism, or other criminal activities, (4) you violate these Terms of Use, (5) you fail to pay, or make fraudulent payment, for transactions, (6) you infringe the intellectual property rights of third parties, or (7) we are requested by law enforcement or other government agencies to do so, if deemed to be legitimate and compelling by CP\_COMPANY, acting in its sole discretion.

16.4. Temporary suspension. If we suspect activity from your side, which might qualify as a breach of these Terms of Use, we may temporarily suspend access to your Account or access to specific services within the Account. Such temporary suspension may last a maximum of 48 hours. Within this timeframe we will conduct an internal investigation. If our suspicion will be confirmed, we will trigger permanent termination of your Account.

16.5. Permanent termination. In case of permanent termination of your access to our services, we will deactivate and delete your Account, without liability to you. In the event of termination CP\_COMPANY will return assets stored on the Account, unless CP\_COMPANY believes the user committed fraud. You shall bear all the costs associated with such transfer.

16.6. We expressly reserve the right to cancel and/or terminate Accounts that have not been re-verified by the user despite our good faith efforts to contact you seeking such verification ("Unverified Accounts"). All Unverified Accounts which have been inactive for a period of 6 months or more are further subject to transfer to a third-party cryptographic "escrow" account, and will no longer be maintained or be the legal responsibility of CP\_COMPANY.

16.7. You may terminate these Terms and Conditions with CP\_COMPANY, and close your Account at any time, following settlement of any pending transactions, by following the instructions published on our support page or with a 14 days' notice by contacting our users support at \_\_\_\_\_\_\_\_\_\_\_.

16.8. You agree that the Service is made available to you immediately when you issue a request for a transaction. You (i) acknowledge that you lose your right to cancel the transaction for any reason; and (ii) agree that you request us to immediately begin providing the Services.

16.9. Upon Account closure, any amount less than $50 in value will not be returned. The suspension of an Account shall not affect the payment of the fees due to CP\_COMPANY for past transactions.

16.10. Any provision of these Terms of Use that expressly or by implication is intended to come into or continue in force on or after termination of this agreement shall remain in full force and effect. This includes (but is not limited to): this clause, "Sanctions", "Our Fees", "Indemnity", "Disclaimer", "Limited Right of Use", "Your Account.

### Suspension or discontinuation of Services in general, modification of Services

17.1. We may, in our full discretion and without liability to you, with prior written notice, suspend or terminate some or all of our Services. In case of such suspension or termination, we will notify you at least 14 days prior to such discontinuation of services and you will have the right to close your Account.

17.2. We may modify and upgrade existing services at any time or we may introduce new services, without prior notice to you.

### Limited Right of Use

18.1. Unless otherwise specified, all software, text, images, graphics, data, prices, trades, charts, graphs, video and audio and other material of any kind ("Materials") on this Marketplace are the property of CP\_COMPANY and are protected by copyright, trade mark and other applicable intellectual property laws. You may view, print and/or download a copy of the Materials from this Marketplace on any single computer solely for your personal, informational, non-commercial use, provided you keep intact all copyright and other proprietary notices.

18.2. The trademarks, service marks and logos of CP\_COMPANY and others used in this Marketplace ("Trade Marks") are the property of CP\_COMPANY and their respective owners. The Trade Marks and Material should not be copied, reproduced, modified, republished, uploaded, posted, transmitted, scraped, collected or distributed in any form or by any means, whether manual or automated. The use of any such Trade Marks and Materials on any other Marketplace or networked computer environment for any other purpose is strictly prohibited.

18.3. This clause will survive the termination of this agreement.

19.1. Email messages sent over the Internet are not secure and CP\_COMPANY is not responsible for any damages incurred by the result of sending email messages over the Internet. We suggest sending email in encrypted formats; you are welcome to send "pretty good privacy", or PGP encrypted emails to us. The instructions and keys to do so are available upon request.

20.1. We may offer services or products from external providers which are not affiliated with us (“Third Party Services”).

20.2. Use of Third Party Services is not governed by these Terms of Use. Each Third Party Service is governed with by the relevant terms of the respective third party. Third Party Services are not under the control of CP\_COMPANY and CP\_COMPANY’s responsibility for Third Party Service is, to the extent permitted by law, completely excluded.

20.3. CP\_COMPANY shall not be responsible or liable, either directly or indirectly, for any damage or loss caused or alleged to be caused in connection with your use of Third Party Services. The inclusion of Third Party Services on our Marketplace does not imply recommendation, approval or endorsement by CP\_COMPANY of Third Party Services or providers of such services.

20.4. We may offer Third Party Services directly on the Marketplace or through the links made available through our Marketplace to reach websites from the external providers.

### Miscellaneous

## What is the BST token?

The Blocksquare Token BST is the governance token that serves as the basis for the Oceanpoint ecosystem. Staking also enables BST holders to passively accumulate more BST as the protocol grows.

## **How do I earn BST tokens?**

There are three ways to earn BST tokens:

In theory, 100% of the property can be represented by tokens, however, it is more likely that a property will also have a senior debt layer next to the tokenized part and perhaps even a layer of traditional non-tokenized equity.

In any case, the token structure is very flexible and can accomodate any capital stack structure.

For example, a property valued at USD 1,000,000 with an outstanding senior debt statement of USD 700,000 implies that 30% is owner's common equity. If 10,000 tokens are to be issued, the capital stack would therefore look like:

1. Cap (tokenization): 10% = 10,000 units
2. Senior debt: 70% = 70,000 units
3. Junior debt: 0% = 0 units
4. Mezzanine: 0% = 0 units
5. Preferred equity: 0% = 0 units

Within each property token contract, 2 values are possibly stored:

1. property valuation, and
2. token valuation.

#### Example

A property is valued at 1M USD and 50% has been tokenized and sold to investors for 10$ per token in a primary offering.

After the offering is completed, the 50,000 BSPT tokens are held across 100 token holder accounts. After some time, holders of these tokens can start trading them on the secondary market where they can resell these tokens for their desired price.

If one token sells for 11$, one could assume the valuation should now be 1.1M USD, however, it does not mean that every one of the 50,000 issued tokens would actually sell for the price of 11$, right?

This means that the "token value" not necessarily correlates with the "property value", but we can use price points together with trade volumes and capital stack structure to generate an overall valuation that takes into consideration both the traditional "property valuation" as well as the more volatile and less understood "token valuation", creating a live price feed for the tokenized property.

# Revenue Distribution Contract

### Introduction

Blocksquare enables anyone with an internet connection to invest in individual real estate assets through purchase of [BSPT tokens](/infrastructure/tokenization-protocol/bspt-tokens). Some real estate assets generate revenues due to rental agreements between the property owner and tenant(s) of the property.&#x20;

Through the tokenization process, the owner agrees to transfers economic rights onto BSPT token holders, which is achieved with the signing of a [Corporate resolution](/infrastructure/tokenization-protocol/corporate-resolution) in which the percentage of revenues is specified. These recurring revenues are to be converted into a stablecoind (e.g. DAI, USDC, USDT) and distributed to BSPT token holders on a predefined time interval (e.g. monthly, quarterly or annually) based on the amount of tokens issued, where 100,000 BSPT represents 100% of the economic rights of the property.

As BSPT tokens can also be traded on the secondary market, there is a certain complexity when it comes to calculating how much of the total revenues should be distributed to each individual BSPT token holder for a given time period. To accurately execute this an off-chain algorithm has been developed by Blocksquare that is then used to place deposits into the Revenue Distribution smart contract deployed on Ethereum mainnet.

### Add Revenue

Used to add revenue for a specific property and distribute it among users. Only the system administrator or authorized certified partner can call this function.

### Claim Revenue For Single Property

Used to claim the pending revenue for a single wallet and property.  This function doesn't restrict the caller, so you can claim revenue on behalf of other users and send it to their wallet.
